Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Routant website and services (the "Services"). "Routant," "we," "us," and "our" refer to AlphaDI Labs Inc., doing business as Routant. "You" means the person using the Services or the organization on whose behalf that person acts.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. A separate written customer agreement, order form, or data processing agreement controls over these Terms to the extent of a conflict on the matters it covers.

1. Eligibility and accounts

You must be at least 18 and legally able to enter into an agreement to use the Services. If you act for an organization, you represent that you have authority to bind it.

You must provide accurate account information, protect credentials and access tokens, and use only accounts and organizations you are authorized to access. You are responsible for activity under your account and for managing your authorized users. Notify us promptly if you become aware of unauthorized access or compromised credentials.

2. The Services and your responsibilities

Routant provides infrastructure for connecting AI agents to applications, databases, and private APIs, with capabilities for access control, policy checks, approvals, and activity records. Available functionality depends on the service configuration and any applicable customer agreement.

You are responsible for your agents, their runtime environments, the resources you connect, and the permissions you grant. You must have authorization from the relevant system owners and obtain any notices, consents, or other permissions required to process data or perform actions.

You are responsible for selecting and reviewing policies, approval requirements, and tool access appropriate to your workflows. An allowed request or an approval decision is not a guarantee that an action is correct, safe, or suitable for your business. Access controls do not replace your own testing, supervision, backups, or operational safeguards.

3. Acceptable use

You must use the Services lawfully and within the authorization provided to you. You must not:

  • Access another organization’s accounts, systems, or data without permission, or bypass policies, authentication, approval requirements, or other security controls.
  • Introduce malware, disrupt the Services, conduct unauthorized security testing, or impose unreasonable load on infrastructure.
  • Use the Services for fraud, unlawful surveillance, infringement of intellectual property, or violations of privacy or other third-party rights.
  • Misrepresent your identity or authority, conceal unauthorized activity, or use connected resources contrary to their applicable terms.
  • Copy, resell, or reverse engineer the Services except as permitted by an applicable agreement or by law that cannot be excluded.

4. Your data and privacy

You retain your rights in the data, configurations, and other content you submit to the Services. You grant Routant permission to process that information as necessary to provide, maintain, secure, and support the Services, fulfill your authorized instructions, and comply with law, subject to applicable agreements.

You are responsible for the legality of the information you submit and for having the rights needed to let us process it. We do not sell personal information, share it for targeted advertising, or use customer data to train AI models.

Our Privacy Policy describes how we handle personal information. Where we process information on behalf of your organization, the applicable customer agreement and any data processing agreement also govern that processing.

5. Third-party systems and integrations

Connected applications, cloud providers, agent platforms, and other third-party services remain subject to their own terms and policies. You are responsible for your relationships with those providers and any fees they charge.

We do not control third-party availability, behavior, or changes to their services. References to third-party names or logos identify relevant technologies or integrations and do not imply sponsorship, certification, or endorsement. Third-party trademarks belong to their respective owners.

6. Our intellectual property

Routant and its licensors retain all rights in the Services, website content, software, and branding, except for your data and third-party materials. Subject to these Terms and applicable agreements, you may use the Services for their intended business purpose. No other rights are granted by implication.

Open-source components remain subject to their applicable licenses. You must not remove ownership notices or use our branding in a way that suggests an unauthorized affiliation.

7. Fees, trials, and service changes

Fees, payment schedules, subscription periods, renewals, and cancellation terms for paid Services are set out in the order form or other agreement you accept. Requesting a demo does not create a paid subscription or an obligation to purchase.

Trials, previews, and beta features may be limited, changed, or discontinued and may not be suitable for production use. We may update the Services over time. Any commitments about availability, support, service levels, or specific functionality must be stated in the applicable customer agreement.

8. Suspension and termination

We may restrict or suspend access when reasonably necessary to address security risks, unlawful use, material violations of these Terms, or legal requirements. Where practicable and appropriate, we will provide notice and an opportunity to resolve the issue. Urgent threats may require immediate action.

You may stop using the Services at any time, subject to outstanding obligations under an applicable agreement. On termination, your right to use the affected Services ends. Data handling and any return or deletion obligations are governed by the applicable agreement, our Privacy Policy, and law. Provisions that by their nature should survive termination continue to apply.

9. Disclaimers

Except for express commitments in a separate written agreement and to the extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted or error-free operation, compatibility with every third-party system, or that the Services will prevent every unauthorized action, security incident, or loss of data. You should evaluate the Services for your intended use.

10. Liability

To the extent permitted by applicable law and except as otherwise provided in a separate written agreement, Routant is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, business opportunity, or goodwill arising from use of or inability to use the Services.

Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited. Any additional allocation of liability for paid Services is governed by your customer agreement.

11. Changes and general provisions

We may revise these Terms and will update the date at the top of this page. We will provide notice of material changes where required by law or an applicable agreement. Changes apply prospectively. If you do not agree to revised Terms, you should stop using the affected Services, subject to any separate agreement.

If a provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision does not waive the right to enforce it later. These Terms do not create a partnership, agency relationship, or rights for third-party beneficiaries.
